1. Parties & Definitions

1.1 THE COMPANY: DJ BlankSlate LLC, including all owners, employees, contractors, and authorized personnel (hereafter referred to as "DJ" or "DJ Staff").

1.2 THE CLIENT: The individuals listed in Section 2.1a and 2.1b, acting jointly and severally (hereafter referred to as "Client").

1.3 THE AGREEMENT: This signed document, including all initialed sections and any attached addenda.

  • SETUP WINDOW: DJ Staff requires a minimum of 3 hours prior to the first scheduled audio service for setup and sound check.
  • TEARDOWN WINDOW: DJ Staff requires 60 minutes following the Event End Time for equipment teardown.

3. Scope of Services

3.1 PRIMARY SERVICES: The DJ is contracted specifically to provide the following services during the Service Timeline:

  • (A) MUSIC: Professional audio performance and curated music playback.
  • (B) MC SERVICES: Professional Master of Ceremonies services, including standard event announcements and bridal party introductions.
  • (C) LIGHTING: Provision and operation of specialized event lighting.
  • (D) HAZE: Provision and operation of atmospheric haze effects.

3.2 HAZE COORDINATION: If Haze is utilized, the Client assumes all responsibility for coordinating with the Venue to ensure haze is permitted. The Client shall be liable for any fines, fees, or fire department response costs resulting from the use of haze. If the Venue prohibits haze on the Day-of-Event, no refunds or service credits shall be issued.

3.3 EXCLUSIONS: Any services not explicitly listed in Section 3.1 (e.g., visual projection, photography, event coordination) are not included in this Agreement and may require a separate addendum and fee.

4. Fees, Payments, & Cancellation

4.1 RETAINER (DUE UPON SIGNING): A non-refundable retainer of $— (thirty (30)% of the total amount) is due immediately via the secure payment portal. Receipt of the retainer is required to secure the Event Date and generates an Event ID (emailed upon payment), which is required to activate the Planning Portal.

4.2 CONTRACT TOTALS:

4.2.1 DIGITAL PROCESSING FEE SCHEDULE: To maintain transparency in accordance with NJ P.L. 2023, c. 146, the following processing fees apply to digital payments:

  • ACH (Bank Transfer): 0.5% + $0.25 (Capped at $6.00 per transaction).
  • Credit/Debit (Online/Invoiced): Actual Interchange + 0.50% + $0.25 (Average effective rate: 1.9% – 3.5%).
  • Credit/Debit (In-Person Tap): Actual Interchange + 0.40% + $0.08.
  • Note: The Digital Processing Fee is a pass-through of actual merchant costs and is waived entirely if the balance is paid via Personal or Cashier's Check on or before the Event Date.

4.3 CANCELLATION & RESCHEDULING

  • 4.3.1 THE 3-DAY COOLING OFF: The Client may cancel this Agreement for any reason by the midnight of the third (3rd) day after signing. In this event, the Retainer shall be refunded minus the non-recoverable Standard Digital Processing Fees.
  • 4.3.2 RESCHEDULING (90+ DAYS): If the Client requests to reschedule ninety (90) or more days before the Event Date, the Retainer may be transferred to a new date at no cost, provided the DJ is available. If the DJ is unavailable for the new date, this Agreement is canceled and the Retainer remains non-refundable.
  • 4.3.3 RESCHEDULING (WITHIN 90 DAYS): If the Client requests to reschedule eighty-nine (89) days or less of the Event Date, the original Retainer is forfeited. A new Retainer and Agreement are required to book a subsequent date.
  • 4.3.4 LAST-MINUTE CANCELLATION: If the Client cancels thirty (30) days or less of the Event Date, the Client is legally responsible for the Full Contract Value. Payment is due immediately upon cancellation.
  • 4.3.5 UNCONTROLLABLE CIRCUMSTANCES (FORCE MAJEURE): If the event is canceled due to "Acts of God" (e.g., extreme weather, war, government mandates), then: (A) All payments made to the DJ shall be converted into a Service Credit, valid for twelve (12) months from the original Event Date. (B) Failure to secure a new date within the 12-month window results in the forfeiture of the retainer fee. Furthermore, all other payments are non-refundable, as they serve to offset administrative and planning expenses already incurred.

4.4 PAYMENT TIMELINE & LATE PENALTIES

  • 4.4.1 FINAL BALANCE DEADLINE: The Full Contract Value is due no later than the day of the Event Date via the Helcim portal.
  • 4.4.2 LATE FEES: If the balance remains unpaid five (5) days after the Event Date, a $50.00 administrative late fee will be applied.
  • 4.4.3 RECURRING PENALTY: An additional $50.00 fee will be applied for every seven (7)-day period the balance remains unpaid thereafter.

4.5 PAYMENT METHODS

  • 4.5.1 ONLINE PAYMENTS: Retainer and pre-event balances are processed via Helcim (Credit, Debit, or ACH).
  • 4.5.2 IN-PERSON PAYMENTS: Payments made on-site are processed via Square Tap-to-Pay or Check. Square transactions are subject to Square's standard processing fees (e.g., 2.6% + $0.10). Checks incur no additional processing fees and are accepted in person on the Event Date only (Payable to: DJ BlankSlate LLC).
  • 4.5.3 RETURNED CHECKS: A $35.00 administrative fee applies to any returned check. Replacement funds must be paid via the Helcim portal within 48 hours of notification.
  • Note: To maintain account security and professional audit trails, the DJ does not accept Peer-to-Peer (P2P) payment applications (e.g., Zelle, Venmo, CashApp, or equivalent) or direct bank-to-bank wire transfers. Cash is not an accepted form of payment.

5. Hospitality & Logistics

5.1 OPERATING BASE & MILEAGE: Logistics Fees are calculated based on the distance from the DJ's Operating Base. Any venue located thirty (30) miles or less from the Operating Base shall incur no mileage or travel time fees. For venues exceeding this distance, travel fees may be calculated using the current IRS Standard Mileage Rate.

5.2 PRIMARY EVENT DINNER: The Client shall provide one hot, high-quality meal—equivalent in tier and substance to the primary guest entree—for each DJ Staff member. This meal must be served in a manner consumable within 30 minutes and delivered within a window of 90 minutes before to 90 minutes after the start of the primary guest meal service. If a meal is not provided within this specific timeframe, DJ Staff reserves the right to leave the venue for 45 minutes to obtain external sustenance; no service credits or refunds shall be issued for the resulting pause in performance.

5.3 DRINKING WATER: Client ensures reasonable access to clean drinking water.

5.4 LODGING & SUBSISTENCE: For events within the 30-mile radius, Logistics Fees shall only be applied if the Client is requested to provide specific lodging or specialized meals. For events outside this radius, fees may include lodging expenses if the venue is over 100 miles from the DJ's Operating Base or the total duty day (travel, setup/breakdown, and performance) exceeds 14 hours and the venue is over 60 miles from the DJ's Operating Base.

6. Technical & Safety Requirements

6.1 CONNECTIVITY & REQUEST POLICY:

  • Option A: Connectivity Fee ($10.00): Private hotspot backup.
  • Option B: Venue Reliance ($0.00): Client relies on Venue Wi-Fi. If insufficient, DJ Staff performs using an Offline Music Locker (Live guest requests disabled).

6.1.1 DAY-OF ACTIVATION: If Option B was selected but a hotspot is requested day-of, a flat $20.00 fee is due immediately via Square Tap-to-Pay or Check. 6.1.2 GUARANTEE: If the hotspot fails to connect due to carrier limitations, any paid connectivity fees will be refunded to the Client.

6.2 POWER: The Client is responsible for ensuring the Venue has a dedicated 15-20 amp grounded circuit within 25 feet of the primary setup.

6.3 THE SAFE ZONE & EQUIPMENT INTEGRITY: A 4-foot physical perimeter must be maintained around all DJ equipment by all individuals except DJ Staff.

  • (A) RESTRICTED ACCESS: No guests or attendees are permitted behind the DJ booth or in the immediate performance area at any time, with the exception of interacting with the Song Request signage.
  • (B) UNAUTHORIZED USE: The use or handling of any DJ equipment (including microphones, controllers, and cables) by guests is prohibited without the express permission and real-time supervision of DJ Staff.
  • (C) DISCRETIONARY USE: Any approved guest use of equipment is permitted only for a duration specified by DJ Staff. DJ Staff reserves the right to terminate guest equipment use immediately if they perceive a risk to safety or event flow.

6.4 EQUIPMENT DAMAGE: The Client is responsible for ensuring guests do not damage equipment. Client is liable for Full MSRP Replacement Cost for any guest-related damage.

6.5 WEATHER: DJ Staff may pause performance if conditions (Rain, <40°F, >90°F) threaten equipment or personal safety.

7. Conduct & Legal Protection

7.1 SAFE ENVIRONMENT: The DJ expects a safe environment free of harassment. Performance may be terminated without refund if DJ Staff are subjected to a hostile environment.

7.2 PROFESSIONAL SOBRIETY: DJ Staff maintains a strict Dry Performance policy. The Client agrees not to offer—and to ensure guests do not provide—alcoholic or mind-altering substances to the DJ Staff.

7.3 MUSIC: The "Do Not Play" list is absolute and overrides all guest requests.

7.4 LIABILITY, INDEMNIFICATION, & SAFETY: DJ BlankSlate LLC maintains business liability insurance. The Client agrees to indemnify and hold harmless DJ BlankSlate LLC and its Staff against claims for injury or property damage caused by guests. The Client shall be held liable for any medical expenses, loss of income, or damages incurred by DJ Staff resulting from the actions of the Client, guests, or venue hazards. DJ Staff reserves the right to cease performance immediately—without refund—if physical safety is threatened.

8. Promotional Rights & Media Release

8.1 MEDIA CAPTURE: The Client grants the DJ the right to take photographs and record video/audio of the event (including guests and the performance environment) for promotional, marketing, and portfolio purposes, including but not limited to social media and the DJ's website.

8.2 OPT-OUT PROVISION: The Client may revoke this permission at any time prior to the Event Date by sending a written "Media Opt-Out" request to [email protected] with the Event ID included.

8.3 USAGE LIMITS: The DJ agrees to use all captured media in a professional manner and will not sell the media to third-party stock agencies without additional written consent from the Client.

9. Signatures & Governing Law

9.1 GOVERNING LAW & JURISDICTION: This Agreement shall be governed by the laws of the State of New Jersey. The parties agree that unless disputes are resolved by mediation conducted under mutually agreeable terms, the exclusive venue for resolving any dispute shall be the state or federal courts located in Essex County, New Jersey. The prevailing party shall be entitled to recover reasonable attorney's fees and costs. The Client waives any objection to this venue on the grounds of an inconvenient forum.
